Terms of Service and Subscription Agreement

Company Information: Power Trading Group, LLC (formerly Opinicus Holdings, LLC), located in Dallas, Texas ("Power Trading Group," "we," "us," or "our")

Agreement Overview

This Terms of Service and Subscription Agreement ("Agreement") is made by and between Power Trading Group, LLC, and you ("Subscriber," "User," or "you"). By subscribing to, accessing, or using any of our services, you accept this Agreement in its entirety. This Agreement governs your use of all Power Trading Group services, websites, and related products.

1. SERVICES OFFERED

Current Services:

1.1 Trader's Thinktank® A subscription-based trading community providing live market coverage, daily analysis, trade reviews, regularly scheduled 90-minute coaching calls (typically weekly), and community support...

1.2 Two Hour Trader Course An educational course teaching a specific trading strategy and framework, available for one-time purchase.

1.3 AutoPilot Trader An automated trading system that executes trades based on our proprietary strategy. This service connects to your brokerage account and places trades automatically according to predefined algorithms.

1.4 Trading Mentorship Group (DISCONTINUED FOR NEW CLIENTS) This premium service is no longer available for new enrollment. All live coaching features previously exclusive to Trading Mentorship Group are now included in the Trader's Thinktank® membership. The terms outlined in Section 15A apply only to existing TMG clients who enrolled prior to discontinuation.

1.5 One-on-One Trading Coaching & Mentoring (DISCONTINUED FOR NEW CLIENTS) This service is no longer available for new enrollment. The terms outlined in Section 15 apply only to existing clients who enrolled prior to discontinuation.

The term "Service" or "Services" means any of the above offerings for which you have subscribed or purchased, and includes all corresponding access, features, or products that apply to that particular subscription or purchase.

2. SUBSCRIPTION FEES AND BILLING

2.1 Payment Terms You agree to pay the subscription fee or purchase price for the Service as listed at the time of purchase or enrollment. Subscription fees are billed on a recurring basis (quarterly or annually, as selected) until canceled. Power Trading Group reserves the right to modify pricing upon 30 days notice to active subscribers.

2.2 Current Pricing

• Trader's Thinktank®: $267/quarter or $847/year (billed as selected)

• Two Hour Trader Course: $139 (one-time purchase)

• AutoPilot Trader: $5,000

2.3 Authorization You authorize Power Trading Group to charge your designated payment method for all applicable fees. Payment processing is handled through our third-party payment processor.

2.4 Cancellation of Recurring Subscriptions You may cancel recurring subscriptions at any time through your account settings or payment provider account. Cancellations become effective at the end of the current billing period. No refunds will be issued for partial billing periods.

3. REFUND POLICY

3.1 General Policy All sales are final and non-refundable. You acknowledge responsibility to read full product descriptions and understand the Services, limitations, and disclaimers before making any payment.

3.2 Trader's Thinktank® and Trading Mentorship Group These subscription services are strictly non-refundable. Upon payment, you receive immediate access to proprietary information, education, and community resources that provide immediate value.

3.3 Two Hour Trader Course - Limited Exception For the Two Hour Trader course only, a refund may be issued solely under the following conditions:

• You purchased the course directly from Power Trading Group

• You provide documented evidence demonstrating:

  • Completion of the entire course

  • Implementation of the strategy exactly as taught for at least 30 trading days

  • Detailed trading journal showing execution of the strategy

  • Account statements verifying trades placed and results

• Documentation clearly shows that the strategy, when implemented exactly as taught, did not achieve breakeven or better results

• Refund request submitted within 90 days of purchase

Power Trading Group reserves the sole right to determine if sufficient evidence has been provided. Alternatively, at our discretion, a one-on-one consultation may be offered in lieu of a refund.

3.4 AutoPilot Trader All AutoPilot Trader subscriptions are non-refundable. Automated trading systems cannot guarantee performance, and past results do not predict future outcomes.

3.5 Service Availability and Interruptions

Power Trading Group makes reasonable efforts to maintain consistent service delivery; however, certain interruptions may occur:

Scheduled Interruptions:

• Holiday closures (major U.S. holidays when markets are closed)

• Planned vacation periods (announced with reasonable advance notice)

• Market closures or abbreviated trading sessions

• Scheduled maintenance or updates

Unscheduled Interruptions:

• Illness or personal emergencies

• Technical failures beyond our control

• Natural disasters or force majeure events

• Unforeseen circumstances affecting service delivery

Important Terms:

• Weekly coaching calls are scheduled on a "best efforts" basis and may occasionally be rescheduled or canceled

• No pro-rated refunds or credits will be issued for missed sessions due to service interruptions

• Power Trading Group will provide advance notice of scheduled interruptions when reasonably possible

• Occasional missed sessions do not constitute a breach of this Agreement

• In cases of extended interruptions (more than 4 consecutive weeks), Power Trading Group may extend subscription periods or provide alternative accommodations at its sole discretion

You acknowledge that subscription fees cover access to our services and community on an ongoing basis, not a guaranteed number of sessions per billing period.

4. TERMS OF USE

4.1 Website and Technology Use Information distributed through our Services or contained on our websites is provided for subscriber convenience and educational purposes. A complete list of disclaimers is incorporated into this agreement by reference. Power Trading Group is not responsible for any loss or damage resulting from information made available through our Services.

4.2 User License In return for your compliance with all terms and payment of applicable fees, Power Trading Group grants you a non-exclusive, non-transferable, limited right to access and use the Services. This license is:

• Non-perpetual and conditional on continued compliance

• Limited to personal use only

• Subject to all restrictions outlined in this Agreement

Power Trading Group reserves all rights not expressly granted to you.

4.3 Prohibited Activities You may not:

• Copy, sell, license, modify, distribute, reproduce, transmit, publicly display, publicly perform, publish, adapt, or edit any Service materials without prior written consent

• Share access credentials with any third party

• Use any automated device, robot, or spider to monitor or copy Service content

• Interfere with the proper functioning of any Service

• Access Services from multiple devices simultaneously under one login (we may charge for additional simultaneous access)

5. DISCLOSURES AND DISCLAIMERS

5.1 Not Investment Advice Power Trading Group, its principals, officers, and employees are not registered as investment advisers, registered representatives, or commodity trading advisors. We are not your investment advisers and are not giving specific investment advice. All information provided through our Services is for educational purposes only.

5.2 No Guarantees We do not guarantee profits or predict trading results. Trading involves substantial risk of loss. You should only trade with risk capital you can afford to lose. Past performance is not indicative of future results.

5.3 Not an Advisory Service All Services are for educational purposes only and should not be construed as offers to buy or sell any financial product including futures, options, equities, or other securities.

5.4 Hypothetical Performance Results When Services present hypothetical performance results, please be advised:

HYPOTHETICAL PERFORMANCE RESULTS HAVE MANY INHERENT LIMITATIONS. NO REPRESENTATION IS BEING MADE THAT ANY ACCOUNT WILL OR IS LIKELY TO ACHIEVE PROFITS OR LOSSES SIMILAR TO THOSE SHOWN. IN FACT, THERE ARE FREQUENTLY SHARP DIFFERENCES BETWEEN HYPOTHETICAL PERFORMANCE RESULTS AND ACTUAL RESULTS SUBSEQUENTLY ACHIEVED BY ANY PARTICULAR TRADING PROGRAM.

ONE OF THE LIMITATIONS OF HYPOTHETICAL PERFORMANCE RESULTS IS THAT THEY ARE GENERALLY PREPARED WITH THE BENEFIT OF HINDSIGHT. IN ADDITION, HYPOTHETICAL TRADING DOES NOT INVOLVE FINANCIAL RISK, AND NO HYPOTHETICAL TRADING RECORD CAN COMPLETELY ACCOUNT FOR THE IMPACT OF FINANCIAL RISK IN ACTUAL TRADING.

5.5 AutoPilot Trader Specific Disclaimers

The AutoPilot Trader is an automated trading system that executes trades in your brokerage account based on algorithmic signals. Purchase and use of AutoPilot Trader requires acceptance of a separate License Agreement and Liability Waiver at the time of purchase.

Important considerations:

• Separate Agreement Required: All AutoPilot Trader users must execute a separate AutoPilot Trader License Agreement and Liability Waiver, which contains additional terms, risk disclosures, and limitations specific to automated trading systems.

• Algorithm Performance: Past performance of the algorithm does not guarantee future results. Market conditions change, and algorithm performance may vary significantly over time. Historical win rates and profit figures are not indicative of future performance.

• Your Control: Your funds remain in YOUR brokerage account under YOUR control. We never touch your money. The system sends trade signals through our execution provider to your connected broker. You can disconnect the service at any time and always maintain full access to your account.

• Substantial Risk: Automated trading involves all the risks of manual trading plus additional technical and execution risks. You may lose all or more than your initial investment. You should not use AutoPilot Trader unless you understand these risks and can afford to lose your entire trading capital.

• Technical Risk: Automated systems may experience technical failures, connectivity issues, broker platform incompatibilities, or execution delays that could impact performance or result in losses.

• Market Impact: System performance may degrade as more traders use similar strategies. We limit the number of licenses to protect performance, but cannot guarantee this will prevent degradation.

• No Investment Advice: AutoPilot Trader signals and executions do not constitute investment advice. The system is provided for educational purposes only.

• No Guarantees: We make no representation that AutoPilot Trader will be profitable or suitable for your specific situation. All automated trading decisions are made at your own risk.

• Not Reviewed by Regulators: This product has not been reviewed or approved by the National Futures Association or any other regulatory body.

CFTC Required Disclosure: HYPOTHETICAL OR SIMULATED PERFORMANCE RESULTS HAVE CERTAIN LIMITATIONS. UNLIKE AN ACTUAL PERFORMANCE RECORD, SIMULATED RESULTS DO NOT REPRESENT ACTUAL TRADING. ALSO, SINCE THE TRADES HAVE NOT BEEN EXECUTED, THE RESULTS MAY HAVE UNDER-OR-OVER COMPENSATED FOR THE IMPACT, IF ANY, OF CERTAIN MARKET FACTORS, SUCH AS LACK OF LIQUIDITY.

6. RISK WARNINGS

6.1 General Trading Risks Trading involves substantial risk of loss that may lead to a loss of some or all of your money. Trading is not appropriate for everyone. You should carefully consider your financial condition before trading and should only trade with risk capital.

6.2 Day Trading Risks Day trading is high-risk and speculative in nature, and is not suitable for most people. While there is potential for reward, there is also substantial risk of loss. You must determine your own suitability to trade.

6.3 Options Trading Risks Options involve risk and are not suitable for all investors. Be sure to read the OCC's Characteristics and Risks of Standardized Options available at http://www.optionsclearing.com/about/publications/character-risks.jsp

6.4 Futures Trading Risks Futures and Options trading has large potential rewards but also large potential risk. You must be aware of the risks and be willing to accept them. Don't trade with money you can't afford to lose.

7. TESTIMONIALS AND RESULTS DISCLAIMER

The testimonials and examples used in our marketing materials, including but not limited to our website, emails, videos, and social media, are exceptional results and are not intended to represent or guarantee that anyone will achieve the same or similar results.

Each individual's success depends on many factors, including but not limited to their background, dedication, market conditions, starting capital, risk tolerance, and ability to follow instructions. Trading is inherently risky, and the majority of traders lose money.

The testimonials on our website are from actual traders and students; however, they may not be representative of all people who use our products or services. The testimonials are not paid or scripted. They may have been edited for clarity or brevity.

Specific dollar amounts, percentages, or trading results mentioned in testimonials should be considered extraordinary and outside the normal expected results. A typical trader should expect to experience losses, especially when beginning. We cannot and do not make any guarantees about your ability to get results or earn any money with our ideas, information, programs, or strategies.

Any forward-looking statements outlined on our website, in our products, or on our marketing materials are simply our expectations or forecasts for future potential, and thus are not guarantees or promises for actual performance. These statements are simply our opinion.

8. DATA PRIVACY AND COMMUNICATIONS

8.1 Collection and Use of Information Power Trading Group collects various types of information from users, including but not limited to:

• Personal information provided during registration (name, email, contact information)

• Payment information processed through our payment processors

• Usage data related to our services and websites

• Communications between you and Power Trading Group

• Trading information, examples, questions, and content shared within our services

8.2 Use of User Content By posting, sharing, or submitting any content, questions, trading examples, or communications within the Trader's Thinktank®, Trading Mentorship Group, or any other Power Trading Group service or platform, you grant Power Trading Group a perpetual, worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, and distribute such content for marketing, educational, and promotional purposes. This includes, but is not limited to:

• Using trading examples or questions in educational materials

• Publishing testimonials or success stories

• Featuring user questions or insights in marketing materials

• Sharing anonymized trading results or strategies

8.3 User Identity Protection When using your content for marketing purposes, Power Trading Group will take reasonable measures to protect your identity by:

• Using only first names or initials unless explicit permission is granted

• Removing or obscuring personally identifiable account information

• Obtaining explicit permission before using full names or identifiable photographs

8.4 Opt-Out Procedures You may opt out of having your content used for marketing purposes by:

• Sending a written request to our contact form at https://www.powertrading.group/contact-us

• Including specific details about what content you wish to exclude

Note that opt-out requests apply only to future use and may not affect materials already published.

8.5 Marketing Communications By subscribing to any Power Trading Group service, you consent to receive:

• Service-related communications essential to the delivery of services

• Marketing communications about products, offers, and promotions

• Educational content and newsletters

You may opt out of marketing communications at any time by:

• Using the unsubscribe link provided in all marketing emails

• Adjusting communication preferences in your account settings

• Contacting customer support at support@powertrading.group

Please note that even after opting out of marketing communications, you will continue to receive transactional and service-related messages essential to your subscription.

8.6 Third-Party Services Power Trading Group may use third-party services for payment processing, analytics, email delivery, and other functions. Information shared with these services is subject to their respective privacy policies.

8.7 Data Security Power Trading Group implements reasonable security measures to protect user information but cannot guarantee absolute security. You are responsible for maintaining the confidentiality of your account credentials.

8.8 Changes to Privacy Practices Power Trading Group reserves the right to modify these privacy practices at any time. Changes will be effective immediately upon posting to our website or notification to users.

9. DIGITAL CONTENT PROTECTION

9.1 Strict Prohibition Against Content Sharing All content provided by Power Trading Group, including but not limited to livestreams, videos, courses, webinars, documents, presentations, trade setups, strategies, methodologies, and communications within any platform or service is strictly protected and subject to the following terms:

9.2 Prohibited Activities You are expressly forbidden from: a. Recording any livestream, webinar, or video content b. Taking screenshots of any content c. Sharing access credentials with any third party d. Distributing, publishing, or transmitting any content to non-subscribers through any means e. Creating derivative works based on Power Trading Group content f. Downloading, storing, or archiving content beyond personal use purposes g. Posting or sharing content on social media, forums, messaging apps, or other platforms

9.3 Immediate Consequences for Violations a. Any violation of these prohibitions constitutes a material breach of this Agreement b. Violations will result in immediate and permanent termination of access to all Power Trading Group services c. No refunds will be provided in cases of termination due to content protection violations d. Power Trading Group reserves the right to pursue legal action for copyright infringement, breach of contract, and other applicable causes of action

9.4 Monitoring and Enforcement a. Power Trading Group employs various technical measures to detect unauthorized recording, sharing, or distribution b. Content may contain digital watermarks or other tracking methods c. Power Trading Group actively monitors external platforms for unauthorized sharing d. Users are encouraged to report any suspected violations

9.5 Liquidated Damages a. Due to the difficulty in calculating actual damages from unauthorized sharing, you agree to pay liquidated damages in the amount of $10,000 per violation b. This amount represents a reasonable estimate of the harm caused by unauthorized distribution, not a penalty c. You acknowledge that each instance of unauthorized sharing may reach numerous potential customers and significantly damage Power Trading Group's business

9.6 Legal Fees and Costs In the event of any violation, you shall be responsible for all legal fees, court costs, and expenses incurred by Power Trading Group in enforcing these terms.

By accessing any Power Trading Group content, you acknowledge the proprietary nature of the materials and the serious harm that can result from unauthorized sharing.

10. THIRD-PARTY SERVICES AND LINKS

Power Trading Group is not responsible for the contents of any third-party services and does not assume any responsibility for or make any representations, guarantees, or warranties whatsoever, expressed or implied, as to the accuracy, suitability, profitability, reliability, or appropriateness of third-party services. You agree that Power Trading Group shall not be liable for such third-party services and to hold Power Trading Group harmless in any dispute or claim whatsoever that you may have related to or concerning such third-party services.

You acknowledge and agree that access to third-party services are regulated by this Agreement, and may also be regulated by terms, conditions, or agreements of such third parties or other policies governing the third-party services. It is your responsibility to read and be informed about the terms and conditions and any other policies of such third parties as they relate to the subscription, products, services, or information you request.

11. WAIVER AND LIMITATION OF LIABILITY

11.1 Assumption of Risk You agree that access to and use of information contained in any Service is at your risk and you agree that no claim shall be alleged or asserted against Power Trading Group or anyone affiliated therewith based on any allegation or contention that any of the information was deficient, misleading, or inaccurate. You assume the duty to verify the accuracy, applicability, and suitability of any information, opinion, or strategy you learn through a Power Trading Group service. You assume full liability for all trading risks and losses related to the use of any Power Trading Group information or service.

11.2 No Warranties THE SERVICES AND ALL INFORMATION, SOFTWARE, CONTENT, AND PRODUCTS AVAILABLE FROM POWER TRADING GROUP ARE PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS, WITH NO WARRANTIES OF ANY KIND. POWER TRADING GROUP EXPRESSLY DISCLAIMS ANY AND ALL WARRANTIES, EXPRESS OR IMPLIED (INCLUDING, WITHOUT LIMITATION, WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT). POWER TRADING GROUP DISCLAIMS ANY WARRANTY THAT THE SERVICES WILL ALWAYS BE ACCESSIBLE OR OPERATIONAL, THAT THE INFORMATION PROVIDED IS ACCURATE, RELIABLE OR CORRECT, AND THAT ANY ERRORS WILL BE CORRECTED.

11.3 Limited Remedy YOUR ONLY REMEDY FOR DISSATISFACTION WITH ANY SERVICE IS TO STOP USING IT AND TO CANCEL ANY SUBSCRIPTION. YOU SHALL NOT BE ENTITLED TO ANY REFUND OF ANY FEES PAID FOR ANY SUBSCRIPTION. CERTAIN STATE LAWS DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES OR THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE DISCLAIMERS, EXCLUSIONS, OR LIMITATIONS MAY NOT APPLY TO YOU, AND YOU MIGHT HAVE ADDITIONAL RIGHTS.

11.4 Limitation of Damages To the extent permitted by applicable law, the liability of Power Trading Group and its principals, affiliates, employees, officers, directors, shareholders arising under this Agreement is limited to direct damages up to the amount you paid for the Service giving rise to that liability during the prior twelve (12) months. In the case of Power Trading Group services or products that are provided free of charge, the combined liability of Power Trading Group and its principals, affiliates, employees, or officers to you arising under this Agreement is limited to One Thousand United States Dollars ($1,000 USD). These limitations apply regardless of whether the liability is based on breach of contract, tort (including, without limitation, negligence), breach of warranties, strict liability, or any other legal theory.

11.5 No Consequential Damages To the extent permitted by applicable law, whatever the legal basis for the claim, neither party, nor any of its principals, affiliates, employees, or officers, will be liable for any indirect, consequential, special or incidental damages, or damages for lost profits or revenues, business interruption, or loss of business information arising in connection with this Agreement or any Service, even if such possibility was reasonably foreseeable. This exclusion does not apply to either party's liability to the other for violation of its confidentiality obligations or intellectual property rights.

12. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Power Trading Group, its principals, affiliates, employees, officers, information providers, and suppliers from and against all claims, causes of action, suits, losses, expenses, damages, and costs (including, without limitation, reasonable attorney's fees) arising out of, in connection with, or relating to any violation by you of this Agreement including, without limitation, claims directly or indirectly resulting from or attributable to you.

13. ACCESS AND INTERFERENCE

You agree that you will not use any robot, spider, other automatic device, or manual process to monitor or copy our content including, without limitation, trading alerts, videos, web pages, and chat communications or for any other unauthorized purpose without prior written permission by Power Trading Group.

You agree that you will not use any device, software, or routine to interfere or attempt to interfere with the proper functioning of any Service. You agree that you will not take any action that imposes an unreasonable or disproportionately large load on our infrastructure and you agree not to engage in any unauthorized framing, linking, or deep-linking to any Service without prior written permission by Power Trading Group.

You are responsible for providing all personal computer and electronic equipment necessary to gain access to the Services. Access to and use of some products or services may be through the use of a combination of a username and password. You must keep such access information strictly confidential. Unauthorized access to any Service is a breach of this Agreement and may subject you to liability to Power Trading Group for damages it suffers, and you shall also be liable to Power Trading Group for its reasonable attorneys' fees and costs.

14. DISPUTE RESOLUTION

14.1 Mandatory Pre-Litigation Process Before initiating any legal proceeding against Power Trading Group, you must:

14.1.1 Notification Requirement a. Send a detailed written notice to Power Trading Group at support@powertrading.group describing the dispute b. Include specific facts, dates, services involved, and the exact nature of the complaint c. Specify the remedy sought and provide any supporting documentation

14.1.2 Cooling-Off Period a. Allow Power Trading Group 30 business days to investigate and respond to the complaint b. Participate in good faith discussions to resolve the matter informally c. Consider reasonable settlement offers or compromises

14.1.3 Mediation Requirement a. If direct resolution fails, participate in a single 4-hour mediation session with a mutually agreed-upon mediator b. Share mediation costs equally unless otherwise agreed c. Conduct mediation in Dallas, Texas or via videoconference

14.2 Binding Arbitration Agreement If the dispute cannot be resolved through the pre-litigation process, any controversy or claim arising out of or relating to this Agreement shall be settled by binding arbitration in accordance with the following terms:

14.2.1 Arbitration Rules and Forum a. Arbitration shall be conducted through JAMS under its Streamlined Arbitration Rules b. Arbitration shall take place in Dallas, Texas or via videoconference c. One arbitrator shall preside over the proceedings

14.2.2 Scope of Arbitration a. All disputes related to this Agreement, including its validity, interpretation, and scope b. All aspects of the relationship between you and Power Trading Group c. Claims related to marketing, services, communications, or billing

14.2.3 Class Action Waiver a. You waive any right to participate in class or collective arbitrations or actions b. All proceedings will be conducted only on an individual basis c. No court may consolidate more than one person's claims or preside over any class proceeding

14.2.4 Cost Allocation a. Filing and administrative fees shall be paid according to JAMS rules b. Arbitrator's fees shall be shared equally unless the arbitrator determines otherwise c. Each party shall bear their own attorney's fees unless the arbitrator awards them to the prevailing party

14.2.5 Judgment on Award a. The arbitrator's decision shall be final and binding b. Judgment on the arbitrator's award may be entered in any court of competent jurisdiction

14.2.6 Exceptions a. Either party may seek injunctive relief in court for intellectual property violations b. Small claims court matters under applicable jurisdictional limits are excluded

14.2.7 Survival This arbitration provision shall survive termination of this Agreement.

14.3 Governing Law and Venue This Agreement shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles. For any court proceedings not subject to arbitration, the parties consent to exclusive jurisdiction and venue in the federal or state courts located in Dallas, Texas.

14.4 Limitation Period Any cause of action arising out of or related to this Agreement must commence within one (1) year after the cause of action accrues; otherwise, such cause of action is permanently barred.

15. ONE-ON-ONE COACHING TERMS (EXISTING CLIENTS ONLY)

NOTICE: One-on-One Trading Coaching & Mentoring is no longer available for new enrollment. This section applies only to existing clients who enrolled prior to discontinuation.

15.1 Guarantee Terms (For Existing Clients)

For existing One-on-One Trading Coaching & Mentoring clients, the "Until You Succeed" guarantee has the following terms:

Definition of Success: Due to the high failure rate in the trading industry, "success" and "consistent profitability" are defined as maintaining a net positive trading account (any amount above $0) while actively trading on a daily or near-daily basis for a consecutive period of 1-2 months.

Requirements: This guarantee is contingent upon: a. Full participation in all coaching sessions b. Completion of all assigned tasks and homework c. Strict adherence to the risk management protocols taught in the program d. Maintaining comprehensive trading records and journals

Documentation: If invoking this guarantee, client must provide documented evidence of: a. Trading activity records b. Implementation of strategies taught c. Adherence to risk management guidelines

Time Limitation: Additional support under this guarantee will extend for up to six months from program completion date.

Exclusions: This guarantee becomes void if: a. Client fails to attend scheduled sessions b. Client does not implement strategies as taught c. Client violates risk management protocols d. Client cannot provide documentation of trading activity

15.2 Client Responsibilities (For Existing Clients)

Record-Keeping and Trade Documentation: Power Trading Group provides a trade log template to all One-on-One clients. Client is solely responsible for maintaining accurate and timely records of all trades in this log. Failure to maintain proper trading records may invalidate eligibility for guarantees, additional support, or continued coaching.

Downloadable Materials and Content: Client is responsible for downloading and saving all materials provided during the coaching relationship. Power Trading Group does not guarantee ongoing availability of downloadable materials after they have been initially provided. It is strongly recommended that Client download and securely store all materials on their own devices immediately upon receiving access.

Participation Requirements:

• Client is expected to attend all scheduled coaching sessions or provide at least 24 hours notice for rescheduling

• Client must complete all assigned homework, exercises, and practice activities between sessions

• Missed sessions without proper notice may be forfeited without replacement

Implementation of Strategies: Client is responsible for implementing strategies exactly as taught to experience intended results. Modification of strategies without guidance may invalidate any guarantees or support obligations.

Technical Requirements: Client is responsible for maintaining adequate internet connection, hardware, and software to access coaching sessions. Technical issues on Client's end do not entitle Client to refunds or makeup sessions.

Intellectual Property Protection: Client must not share, distribute, or resell any materials provided. Recording of coaching sessions is prohibited without express written permission.

Communication Responsibilities: Client must keep contact information current and respond to coach communications in a timely manner.

Client acknowledges that failure to fulfill these responsibilities may result in diminished results, termination of services without refund, or ineligibility for guarantees or additional support.

15A. TRADING MENTORSHIP GROUP TERMS (EXISTING CLIENTS ONLY)

NOTICE: Trading Mentorship Group is no longer available for new enrollment. This section applies only to existing clients who enrolled prior to discontinuation.

15A.1 Existing TMG Clients
Clients who enrolled in Trading Mentorship Group prior to its discontinuation will retain their TMG membership benefits according to the terms of their original subscription, including:

• Access to recorded coaching session library

• Any additional premium features specified at time of enrollment

• Pricing locked at their enrollment rate

15A.2 Transition to Trader's Thinktank
Existing TMG clients may choose to transition to the standard Trader's Thinktank membership at current pricing. Upon transition:

• Access to live coaching sessions continues (now included in Thinktank)

• Access to TMG recording library may be discontinued

• Pricing adjusts to current Thinktank rates

16. GENERAL PROVISIONS

16.1 Non-Transferability This Agreement and the limited license granted to you are personal to you and may not be assigned or transferred by you to anyone else. You agree that you will not allow anyone else to access your Service account. You agree that you will be solely responsible for any liability arising from any third-party access to or use of the Services that you permit or facilitate, negligently or otherwise.

16.2 Single Device Access You can only access the Services from one computer or mobile device at a time (as appropriate). Power Trading Group, or its authorized agents, may monitor your usage and connectivity. If we detect Services being used by more than one electronic device under your login simultaneously, we may terminate one of the sessions or charge your payment method for an additional subscription.

16.3 Modifications Power Trading Group may modify this Agreement or any Service by providing notice of the modification. The modification will become effective at the end of the monthly payment cycle in which the notice is sent or seven (7) calendar days after the notice is received, whichever is longer. Your continued use of any Service shall be conclusively deemed acceptance of all such modification(s).

16.4 Severability If any term or provision of this Agreement is deemed by a court of competent jurisdiction to be void, invalid, unenforceable, or otherwise contrary to law, the remainder of this Agreement that can be given effect without such term or provision shall be given full effect.

16.5 Waiver Any failure by Power Trading Group to enforce strict performance of any provision of this Agreement will not constitute a waiver of its right subsequently to enforce such provision or any other provision of this Agreement.

16.6 Third Party Beneficiaries This Agreement does not create any third-party beneficiary rights in any individual or entity that is not a party to this Agreement.

16.7 Entire Agreement This Agreement constitutes the entire agreement concerning its subject matter and supersedes any prior or contemporaneous communications.

16.8 Force Majeure Neither party will be liable for any failure in performance due to causes beyond either party's reasonable control including, without limitation, fire, explosion, power blackout, earthquake, cyber terrorism, severe storms, flooding, strike, embargo, labor disputes, acts of God, acts or omissions of internet traffic carriers, acts or omissions of regulatory or governmental bodies, and war; however, this section does not apply to your payment obligations under this Agreement.
